Welcome to SaleSmartly software and services! To protect your legal rights and clarify the rights and obligations of both parties, before you begin downloading, installing, using, or logging into SaleSmartly, you must carefully read and fully understand the entire content of this "User Code of Conduct.( "Code")
Please pay special attention to and carefully review the terms marked in bold or bold underline, as these generally involve important matters such as your core rights and obligations, prohibited platform behaviors, limitations of liability, and compliance requirements.
By performing any of the following actions—including but not limited to clicking "Agree," downloading, installing, registering, logging in, using this service, or accessing related features—you will be deemed to have fully read, understood, and agreed to be bound by this "User Code of Conduct."
This "User Code of Conduct" is an essential part of the service agreement between you and the service provider of SaleSmartly ("we","us"or "our"), whether presented in electronic or non-electronic form. Together with the relevant "Service Agreement," "Privacy Policy," and other related documents, it constitutes the complete legal framework governing your use of our services.
Please ensure that you read carefully, fully understand, and agree to all the contents of this Code before using our software and services.
I. General Provisions
1.1 When using SaleSmartly software and services (“the Services”), you shall comply with applicable laws and regulations, public order and good customs, as well as all requirements set forth in this Code.
1.2 You understand and agree that the Services are provided solely as a technical tool. You shall be solely responsible for the legality and compliance of all content and information transmitted through the Services, as well as all business activities conducted via the Services. We assume no responsibility for any content published or actions taken by any user/third party through the Services.
1.3 You shall not use the Services to engage in any illegal, non-compliant, or unethical activities, infringe upon the rights of others, or disrupt the normal operation of the Services. Specifically prohibited activities include but are not limited to fraud, deception, gray-area marketing practices, illegal traffic diversion, and false advertising.
II. Prohibited Activities
While using the Services, you shall not engage in the following activities (including but not limited to):
2.1 Illegal and Non-Compliant Activities
You shall not use the Services to engage in any activities that violate the laws and regulations of your country/region of operation, including but not limited to:
(1) Fraud and deception (e.g., false transactions, fake identities, phishing etc.);
(2) Illegal business operations, money laundering, gambling, pornography, violence, terrorism, trading of prohibited items, etc.;
(3) Violations of export control, economic sanctions, and related regulations;
(4) Infringement of others’ intellectual property rights, trade secrets, privacy rights, and other legitimate rights and interests.
2.2 Fraud and Misrepresentation
You shall not publish, disseminate, or engage in any false, misleading, inaccurate, or fraudulent content or activities through the Services, including but not limited to:
(1) False advertising, fake discounts, fake giveaways, fake identities;
(2) Falsifying transaction records, reviews, sales volumes, qualifications, authorizations, etc.;
(3) Inducing users to engage in false clicks, payments, registrations, downloads, or shares.
2.3 Infringement of Others’ Rights
You shall not use the Services to infringe upon the legitimate rights and interests of others, including but not limited to:
(1) Infringing upon others’ trademarks, copyrights, patents, portrait rights, reputation rights, privacy rights, etc.;
(2) Sending spam, harassment, abusive language, personal threats, or other inappropriate content;
(3) Malicious traffic diversion, bulk harassment, or other activities that disrupt user experience;
(4) Other actions that harm others’ personal and/or property rights.
2.4 Gray-Area Activities and Unfair Profiteering
You shall not use the Services to engage in or facilitate any form of gray-area activities or unfair profiteering, including but not limited to:
(1) Brushing orders, inflating metrics, fake reviews, arbitrage, or other activities that disrupt the normal operations of platforms or third parties;
(2) Illegal traffic diversion, private domain fraud, pyramid schemes, and other covert non-compliant practices;
(3) Exploiting platform features or vulnerabilities for improper marketing, profiteering, or cash-out activities.
2.5 Disrupting the Normal Operation of the Services and Third-Party Platforms
You shall not engage in any activities that disrupt the normal operation of the Services, third-party platforms (e.g., WhatsApp, Meta, Instagram, etc.), or networks, including but not limited to:
(1) Using scripts, crawlers, plug-ins, or other non-standard means for bulk operations;
(2) Abusing frequency limits, bypassing risk control mechanisms, or interfering with system security and stability;
(3) Reverse engineering, cracking code, forging requests, or abusing API interfaces.
III. User Obligations
3.1 You shall use the SaleSmartly Services lawfully, in good faith, and with integrity, and shall ensure that the content you send and the business you conduct comply with applicable laws, regulations, and industry standards.
3.2 If your business requires real-name authentication under relevant regulations, you shall provide us with true and valid information. Otherwise, we reserve the right to take disciplinary measures against you at our discretion.
3.3 You shall ensure that your account is owned by yourself/your organization and complies with third-party platform rules. You shall not use others’ information, control others’ accounts, or allow others to use your account. Otherwise, we reserve the right to take disciplinary measures against you at our discretion.
3.4 You shall properly safeguard your account. You shall bear legal responsibility for all actions and content under your account, including but not limited to operations initiated by you, your employees, or any actual operators of your account. If your account is compromised (e.g., stolen), you shall notify us promptly. We will take action as appropriate, but you understand that verifying account status and taking measures requires reasonable time. During this period, you agree not to hold us liable for any losses incurred under your account.
3.5 You shall take necessary measures to protect the legitimate rights and interests of the recipients (“end-users”) of the information you send through the Services (including but not limited to data privacy protection, informed consent, unsubscribe rights, etc.). Before collecting or processing your end-users’ personal information (including but not limited to sending marketing promotions, emails, or providing online customer service), you shall strictly comply with applicable laws, regulations, and normative documents (including but not limited to obtaining necessary consent from end-users as required by law or meeting other statutory exceptions). You shall bear full responsibility for any disputes or legal liabilities arising from failure to comply with data compliance obligations (including but not limited to failure to obtain consent lawfully or exceeding the scope of information use).
3.6 You shall actively monitor and manage your usage and content. If you identify any non-compliant or abnormal activities, you shall promptly rectify them and cooperate with platform investigations.
IV. Rights of SaleSmartly
4.1 If you violate this Code, we reserve the right to take one or more of the following measures based on the severity of the violation:
(1) Issue a warning;
(2) Temporarily or permanently restrict your access to part or all of the Services;
(3) Suspend or terminate your account and access to the Services;
(4) Remove non-compliant content or data;
(5) Report your illegal or non-compliant activities to relevant regulatory authorities, law enforcement agencies, or third-party platforms;
(6 Pursue your liability for breach of contract;
(7) Demand compensation for all losses incurred by us (including but not limited to direct economic losses, compensation paid to third parties, administrative fines, criminal penalties, and reasonable expenses such as arbitration fees, litigation costs, legal fees, travel expenses, investigation fees, preservation fees, and preservation guarantee insurance premiums incurred for safeguarding rights or responding to lawsuits).
4.2 We reserve the right to monitor, intercept, and address abnormal behaviors and high-risk operations but assume no liability for individual missed or erroneous judgments due to technical reasons.
V. Disclaimer and Limitation of Liability
5.1 The Services are provided solely as a technical tool. We do not participate in your specific business operations, content review, or marketing execution. You shall bear all responsibilities arising from your use of the Services.
5.2 You understand and agree that we assume no joint liability for any illegal, non-compliant, fraudulent, infringing, or gray-area activities you conduct through the Services but will cooperate with law enforcement investigations as required by law.
5.3 We assume no liability for third-party losses, administrative penalties, legal liabilities, or reputational damage resulting from your non-compliant use of the Services.
VI. Code Updates
6.1 We may update this Code from time to time based on changes in laws and regulations, business operational needs, or risk control strategies (“Updates”).
6.2 After any modifications to this Code, we will notify you by posting on our official website or sending you an email. If you continue to use the SaleSmartly software and services after such modifications, it constitutes your acceptance of the revised Code. In the event of any disputes, the updated Code shall prevail. If you do not agree to the updated terms or Code, you shall immediately cease using the SaleSmartly software and services. Your continued use shall be deemed full acceptance of all updated content.
VII. Supplementary Provisions
7.1 The right to interpret this Code rests solely with us.
7.2 The Services function as a technology tool provider. We do not proactively review user content but reserve the right to take action against clearly violation activities.
7.3 If any provision of this Code is deemed invalid or unenforceable, it shall not affect the validity of the remaining provisions.
