To protect your legitimate rights and interests and clarify the rights and obligations of both parties, before you start downloading, installing, using, or logging into SaleSmartly, please be sure to read carefully and fully understand the entire content of this "Acceptable Use Policy".

Please pay special attention to and carefully read the terms marked in bold or bold underline in this Policy, which usually involve important content such as your core rights and obligations, prohibited behaviors on the platform, limitations of liability, and compliance requirements.

Your following actions, including but not limited to clicking "Agree", downloading, installing, registering, logging in, or using this Service or related functions, shall be deemed as you having fully read, understood, and agreed to be bound by this "Acceptable Use Policy".

This "Acceptable Use Policy" is an important part of the service agreement (whether presented in electronic or non-electronic form) signed between you and the SaleSmartly service provider ("we", "us", or "our"), and together with the relevant "User Agreement", "Privacy Policy", and other related documents, constitutes the complete legal document for your use of this Service.

Please be sure to read carefully, fully understand, and agree to all the contents of this Policy before using our software and services.

I. General Provisions

1.1 When using the SaleSmartly software and services (the "Service"), you shall comply with laws and regulations, public order and good morals, and the requirements of this Policy.

1.2 You understand and agree that this Service is only a technical tool, and you shall be solely responsible for the legality and compliance of all content and information sent, and all business activities conducted through this Service. We do not assume any responsibility for any content published or actions taken by any user/third party through this Service.

1.3 You shall not use this Service to engage in any behavior that violates laws and regulations, breaches public order and good morals, infringes upon the rights and interests of others, or interferes with the normal operation of this Service. In particular, you are prohibited from engaging in fraud, deception, grey-market marketing, illegal traffic diversion, false publicity, and other behaviors.

II. Prohibited Behaviors

In the process of using this Service, you shall not engage in the following behaviors (including but not limited to):

2.1 Violations of Laws and Regulations You shall not use this Service to engage in any activities that violate the laws and regulations of China and the country/region where your business is located, including but not limited to:

(1) Fraud and deception (such as false transactions, fake identities, phishing, inducing payments, etc.);

(2) Illegal business operations, money laundering, gambling, pornography, violence, terrorism, transaction of prohibited items, etc.;

(3) Violating relevant regulations such as export control and economic sanctions;

(4) Infringing upon the intellectual property rights, trade secrets, privacy rights, and other legitimate rights and interests of others.

2.2 Fraudulent and False Behaviors

You shall not publish, disseminate, or implement any false, misleading, untrue, or fraudulent content or behavior through this Service, including but not limited to:

(1) False publicity, fake discounts, fake lucky draws, fake identities;

(2) Forging transaction records, reviews, sales volume, qualifications, authorizations, etc.;

(3) Inducing users to perform untrue clicks, payments, registrations, downloads, or sharing.

2.3 Infringement of Others' Rights and Interests

You shall not use this Service to engage in the following behaviors that infringe upon the legitimate rights and interests of others:

(1) Infringing upon others' trademarks, copyrights, patents, portrait rights, reputation rights, privacy rights, and other legitimate rights and interests;

(2) Sending spam, harassing messages, abusive attacks, personal threats, and other inappropriate content;

(3) Malicious traffic diversion, bulk harassment, induced sharing, viral marketing, and other behaviors that interfere with user experience;

(4) Other behaviors that damage the personal rights and interests and/or property rights and interests of others.

2.4 Grey-Market Activities and Unjust Enrichment You shall not use this Service to engage in or assist in any form of grey-market activities or behaviors to seek profits through improper means, including but not limited to:

(1) Brushing orders, inflating metrics, faking reviews, exploiting promotions (scalping), arbitrage, and other behaviors that interfere with the normal operation of the platform or third parties;

(2) Illegal traffic diversion, private domain fraud, induced viral growth, pyramid schemes, and other covert non-compliant models;

(3) Utilizing platform functions or loopholes for improper marketing, profit-making, or cash-out.

2.5 Interfering with the Normal Operation of this Service and Third-Party Platforms

You shall not engage in any behavior that interferes with the normal operation of this Service, third-party platforms (such as WhatsApp, Meta, Instagram, etc.), or the network, including but not limited to:

(1) Using scripts, crawlers, plug-ins, add-ons, and other abnormal means for bulk operations;

(2) Abusing rate limits, bypassing risk control mechanisms, or interfering with system security and stability;

(3) Reverse engineering, cracking code, forging requests, or abusing API interfaces.

III. User Obligations and Conduct

3.1 You shall use this SaleSmartly Service lawfully, honestly, and in good faith, and ensure on your own that the content you send and the business you conduct comply with relevant laws, regulations, and industry standards.

3.2 If your business involves real-name authentication according to relevant requirements, you shall guarantee that the information provided to us is true and valid; otherwise, we have the right to take disciplinary measures against you for violations at our sole discretion.

3.3 You shall ensure that your account is owned by yourself/your entity and complies with the rules of third-party platforms. You shall not use others' information, control others' accounts, or transfer your/your entity's account to others for use; otherwise, we have the right to take disciplinary measures against you for violations at our sole discretion.

3.4 You shall properly keep your/your entity's account, and you shall bear legal responsibility for all behaviors and content under your account, including but not limited to operations initiated through your account by you, your employees, or any actual operator of the account. If any abnormal situation such as account theft occurs, you shall notify us in a timely manner, and we will take handling measures depending on the situation. But you understand that it takes reasonable time for us to verify the account status and take handling measures. If any loss occurs under your account during this period, you promise not to hold us liable for any responsibility.

3.5 You shall take necessary measures to protect the legitimate rights and interests of the recipients of the information you send through this software ("End Users") (including but not limited to data privacy protection, realization of informed consent, and protection of the right to unsubscribe). Before collecting or processing your End Users' personal information (including but not limited to sending marketing and promotional information, emails, and providing online customer service), you must strictly perform the compliance obligations required by applicable laws, regulations, and normative documents (including but not limited to obtaining the necessary consent of End Users in accordance with the law, or meeting other statutory exceptions). If any dispute or legal liability arises due to the failure to perform data compliance obligations (including but not limited to failing to obtain consent in accordance with the law, using information beyond the scope, etc.), you shall solely bear the relevant responsibilities.

3.6 You shall actively supervise and manage your usage behaviors and content. If any violation or abnormal situation is found, you shall make rectifications in a timely manner and cooperate with the platform's investigation.

IV. Rights of SaleSmartly

4.1 If you violate this Policy, we have the right to take one or more of the following measures depending on the severity of the violation:

(1) Warnings;

(2) Temporarily or permanently restricting your use of some/all functions or services;

(3) Suspending or terminating your account and service usage permissions;

(4) Deleting non-compliant content or data;

(5) Reporting your illegal and non-compliant behaviors to relevant regulatory authorities, law enforcement agencies, or third-party platforms;

(6) Holding you liable for breach of contract;

(7) Requiring you to compensate us for all losses (including but not limited to direct economic losses incurred by us, compensation, damages, or settlement fees paid to third parties, administrative fines, criminal fines, as well as reasonable expenses paid by us for safeguarding rights or responding to lawsuits, such as arbitration fees, litigation fees, attorney fees, travel expenses, investigation and evidence collection fees, preservation fees, and preservation guarantee insurance fees).

4.2 We reserve the right to monitor, intercept, and handle abnormal behaviors and high-risk operations, but we shall not be held liable for individual omissions or misjudgments due to technical reasons.

V. Disclaimer and Limitation of Liability

5.1 This Service is only a technical tool provider. We do not participate in your specific business operations, content review, or marketing execution. You shall solely bear all responsibilities arising from the use of this Service.

5.2 You understand and agree that we do not bear any joint and several liability for any illegal, non-compliant, fraudulent, infringing, or grey-market behaviors implemented by you through this Service, but we will cooperate with law enforcement agencies in investigations in accordance with the law.

5.3 We shall not be held liable for any third-party losses, administrative penalties, legal prosecutions, or reputational damage caused by your non-compliant use of the Service.

VI. Updates to the Policy

6.1 We may update this Policy from time to time based on changes in laws and regulations, business operation needs, or risk prevention and control strategies (hereinafter referred to as "Updates").

6.2 After this Policy is modified, we will notify you by publishing it on our official website or sending you an email. If you continue to use the SaleSmartly software and services after this Policy is modified, you shall be deemed to have accepted the modified Policy. In the event of any dispute, the latest version of the Policy shall prevail. If you do not agree to the updated terms or Policy, you shall immediately stop using the SaleSmartly software and services; your continued use shall be deemed as your full acceptance of all the updated content.

VII. Supplementary Provisions

7.1 The final right of interpretation of this Policy belongs to us.

7.2 The nature of this Service is to provide technical tools. We do not actively review user content, but we reserve the right to take disposal measures against obvious violations.

7.3 If any provision of this Policy is held to be invalid or unenforceable, the validity of the other provisions shall not be affected.
